Terms of Service

1. Acceptance of Terms

By accessing and using MemoArc ("Service"), you agree to be bound by these Terms. If you don't agree, don't use the Service.

2. Your Account

You're responsible for:

• Maintaining confidentiality of your password
• All activity under your account
• Immediately notifying us of unauthorized access
• Being 18+ years old (legal age of majority in Sweden/EU) or having parental consent if younger
• Providing accurate information during registration

Note: Users under 18 may use MemoArc only with verifiable parental/guardian consent.

3. Content & Ownership

Your Content: You own all photos, videos, text, and memories you upload. By using MemoArc, you grant us a license to store, display, and process your content to provide the Service.

MemoArc Content: All our design, features, and interface are our property.

3a. Public vs. Private Content

Public Posts: Content you mark as "public" can be:

• Viewed by anyone on the internet
• Indexed by search engines
• Shared for educational, research, or promotional purposes
• Used in aggregated analytics (without identifying you)
• Licensed to third parties for commercial use (with revenue sharing)

Private Posts: Content you mark as "private":

• Is only visible to you and people you explicitly invite
• Will NEVER be shared with third parties, advertisers, or partners
• Will NOT be used for training AI models or machine learning
• Is protected under data privacy laws (GDPR, CCPA, etc.)
• Can only be accessed with your explicit written permission

MemoArc will never sell, rent, or license your private content to anyone under any circumstances.

4. Acceptable Use

You agree NOT to:

• Upload hate speech, violence, or explicit content
• Harass, threaten, or abuse other users
• Violate copyright or intellectual property rights
• Use automated tools to scrape or spam
• Engage in click fraud or artificially inflate ad metrics
• Attempt to hack or bypass security
• Violate any applicable laws

Violation may result in account termination without refund.

5. Advertising

How We Make Money: MemoArc is free because we show ads. With your consent, we display:

• Banner ads (top, sidebar, bottom)
• Sponsored content within your feed
• Video ad overlays

Ad Network Policies: Google, Mediavine, Outbrain, and Meta have their own ads and terms. We are not liable for third-party ads.

Your Choices: You can disable personalized ads in Settings (ads will be less relevant but will still show).

6. Premium & Payments

Premium subscription gives ad-free browsing and extra features. Subscriptions auto-renew unless cancelled. You can cancel anytime in Settings → Subscriptions.

No Refunds: We don't offer refunds, but you can downgrade immediately to stop future charges.

7. API Access & Third-Party Integrations

API Licensing: MemoArc provides APIs and data exports exclusively under a paid licensing agreement. If you want to:

• Access user-generated content programmatically
• Integrate MemoArc data into your platform
• Build tools or services using MemoArc data
• Use MemoArc content for commercial purposes
• Train AI models or machine learning algorithms on our data

You MUST obtain a paid API license from MemoArc. Unauthorized access is prohibited.

API Pricing Model:

• Enterprise APIs: Custom pricing based on usage volume
• Research/Academic: Custom non-commercial license (discounted)
• Startup Program: Reduced rates for early-stage companies

Unauthorized Data Use: Scraping, crawling, or extracting MemoArc content without permission is prohibited and may result in:

• Account termination
• Legal action for breach of contract
• Damages and attorney fees

8. Limitation of Liability

MemoArc is provided "as-is" without warranties. To the fullest extent allowed by law, we are not liable for:

• Lost data or memories
• Service interruptions or downtime
• Indirect or consequential damages
• Third-party ads or content

9. Termination

We may terminate or suspend your account if you:

• Violate these Terms
• Engage in harmful behavior
• Don't use the Service for 24+ months.

You can delete your account anytime in Settings. Your data will be deleted within 30 days unless legally required to retain it.

10. Changes to Terms

We reserve the right to update these Terms anytime. If changes are material, we'll email you. Continued use means you accept the updated Terms.

11. GDPR & Data Subject Rights

MemoArc's Commitment to Data Protection: MemoArc complies fully with the General Data Protection Regulation (GDPR), the Swedish Data Protection Act (Dataskyddsförordningen), and all applicable EU data protection laws.

Your Data Rights (GDPR Articles 15-22): You have the right to:

• Right of Access (Art. 15): Request a copy of all personal data we hold about you
• Right to Rectification (Art. 16): Correct inaccurate personal data
• Right to Erasure (Art. 17): Request deletion of your data ("right to be forgotten")
• Right to Restrict Processing (Art. 18): Limit how we use your data
• Right to Data Portability (Art. 20): Export your data in a machine-readable format
• Right to Object (Art. 21): Object to processing for marketing or profiling
• Right Against Automated Decision-Making (Art. 22): Not be subject to automated decisions affecting you
• Right to Withdraw Consent (Art. 7): Withdraw your consent at any time

Data Processing Transparency:

• Data Controller: MemoArc AB, Sweden
• Legal Basis: Performance of contract (Art. 6(1)(b)) and legitimate interests (Art. 6(1)(f))
• Data Retention: We keep your data only as long as you have an account, unless legally required to retain it
• International Transfers: Your data is stored on EU servers and will not be transferred outside the EU/EEA without adequate safeguards and your consent

Data Breach Notification: If a data breach affects your personal information, we will notify you within 72 hours as required by GDPR Article 33.

Complaints: If you believe MemoArc violates your data protection rights, you may lodge a complaint with the Swedish Data Protection Authority (Swedish Data Inspection Board / Datainspektionen).

12. Governing Law

These Terms are governed by Swedish law. Any disputes shall be resolved in Swedish courts. The EU General Data Protection Regulation (GDPR) and Swedish Data Protection Act take precedence in data protection matters.

13. Intellectual Property & Content Protection

Your Rights: You retain all intellectual property rights to content you create. By marking content as public, you grant MemoArc a non-exclusive, worldwide license to display and distribute it.

MemoArc's Rights: All MemoArc technology, design, algorithms, and interface are protected intellectual property. Reverse-engineering, copying, or cloning our platform is prohibited.

DMCA Compliance: We respect copyright. If you believe your copyright is infringed, email legal@memoarc.com with:

• Your contact information
• Description of the copyrighted work
• Location of the infringing content
• Statement under penalty of perjury

AI & Machine Learning: MemoArc content (especially private content) will NOT be used to train AI models, chatbots, or machine learning systems without explicit written consent and compensation.
